Heads up — please read. These Terms include a binding arbitration clause and a class action waiver (Section 17). They also include limits on our liability (Section 13). These provisions affect your legal rights. Please read them carefully.

In plain English

Cribio is a real estate search product run by Broker Public Portal, LLC ("BPP") — a Delaware LLC formed as a collaborative venture between real estate brokerages and MLSs. These Terms of Use ("Terms") are the rules for using cribio.com and Cribio's mobile experiences.

The short version:

  • Use Cribio to search for real estate. Browse listings, save searches, get alerts, contact listing professionals — that's what it's here for.
  • Don't scrape, copy, or redistribute the listing data. It comes from MLSs under specific data-use rules, and those rules apply to you when you use Cribio.
  • Don't use Cribio to discriminate. Fair Housing law applies here, and we take it seriously — including in our AI features.
  • Listings come from MLSs and may not be perfect. We work hard on data quality, but the source of truth is the listing professional, not the website.
  • Disputes are handled through arbitration, not court. You're agreeing to that by using the Service. Details in Section 17.

If you keep using Cribio, you're agreeing to the rest of this page. If you don't agree, don't use it.

1. Who we are; what these Terms cover

These Terms are a binding agreement between you and Broker Public Portal, LLC ("BPP," "Cribio," "we," "our," "us") — a Delaware limited liability company governed by its industry shareholders (brokerages and MLSs) through a Board of Managers. They govern your access to and use of cribio.com, our mobile applications, and any related services we operate under the Cribio name (collectively, the "Service").

Our Privacy Policy explains how we handle your information and is incorporated into these Terms by reference.

2. Eligibility

You may use the Service only if you can form a legally binding contract with us, which generally means you're at least 18 years old (or the age of majority in your jurisdiction) and not barred from using the Service under applicable law. Cribio is intended for users in the United States; the Service is operated from the United States and is not directed to users in other regions.

3. Your account

Some Cribio features require an account. When you create one, you agree to:

  • Provide accurate information.
  • Keep your password confidential.
  • Be responsible for activity that happens under your account.
  • Notify us promptly at legal@brokerpublicportal.comif you believe your account has been compromised.

You can close your account at any time through your account settings or by contacting us. Closing your account doesn't terminate any obligations you've already incurred or release us from obligations that, by their nature, survive termination.

4. Acceptable use

When you use Cribio, you agree not to:

  • Scrape, crawl, harvest, or extract data from the Service, whether manually or through any automated means (bots, scripts, headless browsers, AI agents acting at your direction, etc.), except where we've explicitly authorized such access in writing or via a documented public API.
  • Bypass technical protections — including rate limits, authentication, anti-abuse systems, or access controls.
  • Interfere with the Service — including denial-of-service activity, injecting malicious code, or probing for vulnerabilities outside a coordinated security disclosure (which we welcome at security@cribio.com).
  • Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying models of the Service, except to the extent that applicable law prohibits us from preventing this.
  • Use the Service to build a competing product — including using it to assemble a database of listings, train a third-party AI model, or generate content that would substitute for Cribio.
  • Misrepresent your identity or impersonate another person, agent, brokerage, or organization.
  • Submit false, misleading, or unlawful content — including fake inquiries, harassment of agents or other users, or content that infringes someone else's rights.
  • Use the Service for commercial outreach to listing professionals — solicitations, recruiting, sales pitches — that they did not invite.

5. Listing data

The property listings displayed on Cribio come directly from MLSs and from the brokerages and agents who participate in those MLSs. That data is licensed to us under specific terms — and when you use Cribio, those terms apply to you.

In particular:

  • Personal, non-commercial use only. You may view listings for your own personal, non-commercial real estate search. You may not use listing data to operate a business, generate leads, populate another website or app, or train an AI system.
  • No redistribution. You may not copy, republish, mirror, syndicate, or otherwise distribute listing data outside of Cribio.
  • No compilation. You may not extract listing data — manually or automatically — to build a competing database, dataset, or product.
  • No automated access to listings outside a documented API.
  • Listing data is the property of the MLSs and originating professionals that supplied it, not Cribio. We display it; we don't own it.

Violations of this section are taken seriously by both BPP and the MLSs whose data is involved.

6. Natural Language Search and AI features

Cribio's Natural Language Search ("NLS") and other AI-assisted features let you describe what you're looking for in plain language; the system interprets that intent and runs a search against MLS data using the RESO standard.

A few things to understand:

  • AI features are tools, not advice. NLS helps you find listings; it doesn't give real estate, legal, financial, or investment advice. Don't treat it as if it does.
  • AI outputs aren't guaranteed. AI interpretation can be wrong, incomplete, or surprising. Always verify the listings you see and confirm details with the listing professional before making decisions.
  • Don't try to manipulate the system. You agree not to use prompts or inputs designed to extract training data, bypass content filters, jailbreak the model, generate harmful content, or misuse the AI features in ways that violate these Terms.
  • Your queries may be processed by third-party AI providers under contract with us — see our Privacy Policy for details. Don't submit information through NLS that you wouldn't want processed in that way.
  • No use of NLS outputs to train other models. You may not use Cribio's AI outputs as training data for any third-party AI system.

7. Fair Housing

Cribio is committed to the Fair Housing Act and to making housing search work for everyone, regardless of race, color, religion, sex, disability, familial status, national origin, or any other protected characteristic.

You agree not to:

  • Use the Service — including AI features — to seek out, filter, or screen listings on the basis of any protected characteristic, or by proxies for protected characteristics.
  • Submit content (notes, inquiries, messages to agents) that discriminates against, harasses, or expresses bias toward any protected class.

We design our search and AI features to avoid producing discriminatory outputs, and we reserve the right to refuse, filter, or modify queries we determine to be inconsistent with Fair Housing principles.

8. Your submissions

You may submit content to Cribio — saved searches, notes, messages to listing professionals, feedback, and similar inputs ("User Content").

You retain ownership of your User Content. You grant BPP a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content as needed to operate, improve, and secure the Service. This license ends when you delete the content or close your account, except where we need to retain it to comply with law, resolve disputes, enforce our agreements, or for backup purposes for a reasonable period.

You're responsible for your User Content. You represent that you have the right to submit it and that it doesn't violate these Terms or any applicable law.

9. Connecting with agents and brokerages

Cribio facilitates connections between consumers and the listing professionals associated with properties on the Service. When you contact an agent or brokerage through Cribio:

  • We share the contact and inquiry information necessary to make the connection (see Privacy Policy).
  • The professional you contact is independent of Cribio. Their conduct, advice, services, and any agreements you enter with them are between you and them.
  • Cribio is not your agent, broker, or fiduciary, and is not a party to any real estate transaction you pursue.

10. Intellectual property

The Cribio name, logo, design, software, copy, structure, and other elements of the Service (excluding listing data and User Content) are owned by BPP or its licensors and are protected by U.S. and international intellectual property laws.

We grant you a limited, personal, non-transferable, revocable license to access and use the Service for its intended purpose. Any other use — including the prohibited uses listed in Sections 4 and 5 — requires our prior written permission.

Listing data is owned by the MLSs and originating professionals. User Content is owned by you, subject to the license you grant us in Section 8.

11. Copyright and DMCA

We respect intellectual property rights. If you believe content displayed on Cribio infringes your copyright, send a notice to our designated agent that includes the information required by the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)):

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material claimed to be infringing and its location on Cribio
  • Your contact information
  • A statement that you have a good-faith belief the use is not authorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on the copyright owner's behalf

We may remove allegedly infringing content and terminate accounts of repeat infringers in appropriate circumstances.

12. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, BPP disclaims all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

Specifically:

  • We don't guarantee the accuracy, completeness, currency, or availability of listing data. Always verify with the listing professional before making decisions.
  • We don't guarantee that AI features will produce correct or complete results.
  • We don't guarantee uninterrupted or error-free operation of the Service.
  • Cribio is not a substitute for professional advice — real estate, legal, financial, or otherwise.

13. Limitation of liability

To the fullest extent permitted by law:

  • BPP and its directors, officers, employees, managers, members, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or loss of goodwill — arising out of or related to your use of the Service.
  • BPP's total cumulative liability arising out of or related to these Terms or the Service will not exceed one hundred U.S. dollars ($100).

Some jurisdictions don't allow certain limitations of liability, so portions of this section may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless BPP and its directors, officers, employees, managers, members, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason — including violation of these Terms. You may stop using the Service at any time and may close your account through your account settings or by contacting us.

Sections that by their nature should survive termination — including Sections 5, 8 (license grant), 10–14, and 16–18 — will survive.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to the arbitration provision in Section 17, any action arising out of or relating to these Terms shall be brought in the federal or state courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.

17. Disputes — informal resolution, then binding arbitration

Informal resolution first

Before filing any formal claim, you agree to first contact us at legal@brokerpublicportal.com with a description of the issue. We'll try in good faith to resolve it informally within 30 days.

Binding arbitration

If we can't resolve a dispute informally, you and BPP agree that any dispute, claim, lawsuit, or proceeding arising out of these Terms, our Privacy Policy, or your use of the Service (a "Dispute") will be finally and exclusively resolved by binding arbitration — not by a court or jury.

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

The arbitration will be commenced and conducted under the commercial arbitration rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both available at www.adr.org. The AAA Consumer Rules govern arbitration fees and your share of arbitrator compensation.

Arbitration costs will be shared equally between us unless the arbitrator determines that such sharing is unfair, in which case BPP will pay all arbitration fees and expenses. Each party is responsible for its own attorneys' fees.

The arbitration may be conducted in person, through written submissions, by phone, or online. The arbitrator will issue a written decision but need not provide a statement of reasons unless requested. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where the AAA rules or applicable law require otherwise, arbitration will take place in New Castle County, Delaware.

Class action waiver

Any arbitration will be conducted on an individual basis only. To the fullest extent permitted by law: (a) no arbitration will be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action or consolidated basis or to use class-action procedures; and (c) there is no right or authority for any Dispute to be brought in a representative capacity on behalf of the general public or any other persons.

Exceptions

The following Disputes are not subject to binding arbitration: (a) disputes seeking to enforce, protect, or concerning the validity of intellectual property rights; (b) disputes arising from theft, piracy, or unauthorized use; (c) claims for injunctive relief; and (d) claims that meet the jurisdictional requirements of small claims court.

Time limit

Any claim arising out of or related to use of the Service must be filed within one year after such claim arose or be forever barred, regardless of any contrary statute or law.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we'll post the updated version here with a new "Last updated" date. Material changes will be highlighted, and for substantial changes affecting account holders we'll notify you directly. Continued use of the Service after an update means you accept the revised Terms. If you don't agree to a change, stop using the Service.

19. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and BPP regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision isn't a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a corporate restructuring or transfer consistent with BPP's governance structure.
  • No third-party beneficiaries, except that MLSs whose data is displayed on Cribio are intended third-party beneficiaries of Section 5 and may enforce it directly.
  • Force majeure. Neither party is liable for delays or failures caused by circumstances beyond reasonable control, including strikes, riots, changes in law, telecommunications failures, epidemics, pandemics, acts of war, terrorism, fire, flood, or natural disasters.
  • Electronic signature. Your use of the Service or click to accept these Terms constitutes your electronic signature and creates a legally binding agreement.

20. California users

Pursuant to California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
